Please read these Terms of Service (“Terms”) carefully before using the Services provided by Arkleaf, Inc. (“Arkleaf,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing or using arkleaf.com and scout.arkleaf.app (the “Services”), you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Description of Services

Arkleaf provides Scout, an AI-powered market intelligence platform that monitors competitors, tracks industry trends, and delivers actionable insights. The Services include the Scout web application, API, and related tools.

3. Accounts

  • You must be at least 18 years old to use the Services.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete registration information.

4. Subscriptions and Billing

  • Free Trial: New accounts receive a 14-day free trial with full feature access.
  • Billing: Subscriptions are billed monthly or annually, depending on your selected plan. Payment is processed through Stripe.
  • Cancellation: You may cancel your subscription at any time. Access continues through the end of your current billing period.
  • Refunds: We offer refunds on a case-by-case basis. Contact support@arkleaf.com for assistance.
  • Price Changes: We may change pricing with 30 days’ notice. Existing subscribers are grandfathered at their current rate for the remainder of their billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to the Services or related systems
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or redistribute the Services without authorization
  • Use the Services to harm, harass, or infringe upon others’ rights
  • Circumvent rate limits, usage quotas, or other technical restrictions

6. Intellectual Property

  • The Services, including all content, features, and functionality, are owned by Arkleaf and protected by copyright, trademark, and other intellectual property laws.
  • Your data remains yours. We claim no ownership of the data you input into or generate through the Services.
  • You grant us a limited license to process your data solely to provide the Services.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to our data practices as described therein.

8. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service.
  • We may perform maintenance with reasonable advance notice.
  • We reserve the right to modify or discontinue features with notice.

9. Limitation of Liability

To the maximum extent permitted by law, Arkleaf shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that:

  • The Services will be uninterrupted or error-free
  • The intelligence or insights provided will be accurate or complete
  • The Services will meet your specific requirements

Scout provides market intelligence based on publicly available data. Insights should be used as one input among many in your decision-making process.

11. Indemnification

You agree to indemnify and hold harmless Arkleaf and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. Upon termination, your right to use the Services ceases immediately, though you may export your data for 30 days.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance.
